Updated taxonomy for more SPACS clarity
On 14 of October the US Securities and Exchange Commission (SEC) upgraded its EDGAR system to Release 25.3, which enables the deployment of the updated Special Purpose Acquisition Company (SPAC) Taxonomy for XBRL‑filings.
The updated SPAC taxonomy introduces a number of changes, including the addition of an Over‑allotment Option [Axis] to dilution source link roles; the replacement of the Security Class [Axis] in certain sponsor‑compensation roles [Axis] (to capture non‑security types of compensation); and the introduction of new standard members in the Dilution Source domain. This update builds on the taxonomy originally introduced in March of this year.
The enhanced axes and members improve granularity and comparability for SPAC‑related disclosures, making tagging more precise and aligned with evolving regulatory needs. The new taxonomy provides better structure for analysing key items such as dilution, underwriting fees, and sponsor compensation, with the end goal of helping stakeholders extract greater value from data.
